Terms of Service for Edis

Welcome to Edis ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Edis application available through supported platforms and integrations (the "Service"), provided by Auto DeepRag, located in New South Wales, Australia.

By installing or using the Service, you agree to be bound by these Terms. If you do not agree, please uninstall the Service immediately.

1. Applicability

These Terms apply to merchants and users across all supported platforms, including but not limited to Shopify and custom direct integrations.

2. Description of Service

Edis is an AI-powered shopping assistant for ecommerce merchants. It indexes your product catalog and provides a conversational interface ("Widget") for your store visitors to discover products.

3. AI Disclaimer (Important)

The Service utilizes artificial intelligence and Large Language Models (LLMs) to generate responses. By using the Service, you acknowledge that:

  • Accuracy: AI models can occasionally produce incorrect, misleading, or "hallucinated" information. We do not guarantee the accuracy of the responses generated by Edis.
  • Verification: You are responsible for monitoring the AI's interactions with your customers.
  • Liability: Auto DeepRag is not liable for any sales lost, refunds issued, or customer disputes arising from incorrect answers provided by the AI.

4. Account & Usage

To use the Service, you must have a valid account on your Platform (e.g., Shopify) or register directly with Auto DeepRag. You are responsible for maintaining the security of your account and are fully responsible for all activities that occur under your account.

4.1 Prohibited Uses

You may not use the Service to:

  • Illegal Content: Generate content that is illegal, harmful, or violates your Platform's acceptable use policies.
  • Reverse Engineering: Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Infrastructure Abuse: Overburden our infrastructure or attempt to bypass rate limits.

5. Fees, Quotas, and Payments

  • Billing: Fees are billed through your Platform's billing system (e.g., Shopify Billing API) or directly through Auto DeepRag, depending on your integration method. By selecting a paid plan, you agree to the recurring charges listed during setup.
  • Quotas: Service plans are subject to usage limits (e.g., number of queries per month, number of ingested products).
  • Changes to Pricing & Quotas: We reserve the right to modify our pricing plans, introduce new charges, or change the quotas/allowances associated with our plans at any time.
  • Notice: We will provide notice of any price changes via the Service or email.
  • Acceptance: Continued use of the Service after a price change constitutes your agreement to the new pricing.

6. Intellectual Property

  • Your Data: You retain all rights to your product catalog, images, and store data. You grant us a license to use this data solely for the purpose of providing and improving the Service (e.g., creating vector embeddings for search).
  • Our IP: The Edis application, including its code, design, algorithms, and "Edis" trademark, is the exclusive property of Auto DeepRag.

7. Termination

  • By You: You may terminate these Terms at any time by uninstalling the App from your store or Platform, or by canceling your subscription. Billing will stop upon termination, though a final prorated charge may apply.
  • By Us: We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms or abuse the Service (e.g., excessive API usage beyond plan limits).

8. Limitation of Liability

To the maximum extent permitted by law, Auto DeepRag shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Service Access: Your access to or use of or inability to access or use the Service;
  • Third Party Conduct: Any conduct or content of any third party on the Service;
  • Service Content: Any content obtained from the Service (including AI-generated responses);
  • Unauthorized Access: Unauthorized access, use, or alteration of your transmissions or content.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.
